E: [email protected] W: https://socialselling.co.uk

Effective from: 1 November 2025

These Platform Terms of Use govern your use of the Silla platform as a logged-in User, including app.silla.co, api.silla.co, and the Silla mobile app (“Our Sites”, for the purposes of these Terms). Use of Our public marketing websites generally, including by visitors who are not logged in, is instead governed by Our Website Terms of Use.

These Terms are separate from, and apply in addition to, the Subscription Terms and Conditions, which govern the commercial subscription relationship between us. Where the Subscription Terms and Conditions set out what you have bought, these Terms set out how you, and anyone you invite to use your account, may use it.

By accessing or using Our Sites you agree to these Terms. If you do not agree, you must not use Our Sites.

1. Definitions

“AI Features” – any functionality on Our Sites that uses artificial intelligence or machine learning to generate, suggest or adapt content.

“Content” – any data, text, images, contact lists, or other material you or your Users upload to, or generate using, Our Sites.

“Messaging Features” – any functionality on Our Sites that lets you send email, WhatsApp, or other messages to your own contacts.

“Organisation” – you and any team members you invite to your account under Our organisation/team functionality.

“Support Centre” – Our online help and communication system used for support requests and reporting concerns under these Terms.

“User” – anyone who accesses Our Sites using login credentials linked to your account, including you and any invited team member.

“We / Us / Our” – The Social Selling Company Limited, registered in England under company number 11674627.

2. Acceptance and Scope

These Terms apply to every User of Our Sites, whether or not that User is the person who purchased the Subscription. Where you invite other Users into your Organisation, you are responsible for ensuring they are aware of, and comply with, these Terms.

3. Accounts and Security

You must provide accurate information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that takes place under your account, whether or not you authorised it, except to the extent it results from Our failure to keep Our Sites reasonably secure.

You must notify Us promptly through the Support Centre if you suspect unauthorised access to your account. We strongly recommend enabling multi-factor authentication where it is offered.

4. Acceptable Use

You must not use Our Sites, and must not permit any User to use Our Sites, to store, generate, transmit, publish or share content or engage in conduct that:

  • is illegal, or facilitates, promotes or instructs on illegal activity of any kind;
  • depicts, promotes or facilitates child sexual abuse or the exploitation of minors in any way (We operate a zero-tolerance policy on this and will terminate access immediately and report to the appropriate authorities);
  • is pornographic or sexually explicit;
  • constitutes hate speech, or promotes discrimination, harassment or violence against any person or group on the basis of a protected characteristic;
  • infringes the intellectual property, privacy, or other legal rights of any third party;
  • contains malware, or is intended to gain unauthorised access to, disrupt, or probe the security of any system (including Our own), except where you have Our prior written permission to carry out security testing;
  • amounts to spam or unsolicited bulk messaging in breach of applicable law;
  • is fraudulent, or amounts to impersonation, phishing, a scam, or an illegal pyramid or multi-level-marketing scheme;
  • attempts to reverse engineer, scrape, or circumvent the technical limits or security of Our Sites; or
  • resells, sub-licenses or white-labels access to Our Sites without Our prior written permission.

You are responsible for all Content uploaded to, or sent using, Our Sites by any User of your Organisation.

5. Your Content and Data

You retain ownership of your own Content. You grant Us a licence to host, process, transmit and display your Content: (a) to provide Our Sites and Paid Content to you and your Organisation; and (b) where you choose to make Content publicly available using a feature of Our Sites (for example, embedding an image or video on a funnel page), to display that Content to the public for as long as you keep it published.

You are solely responsible for any Content you choose to make publicly available using Our Sites, including for holding all rights and consents necessary to publish it, and for its legality. Our hosting and display of publicly-available Content does not make it Our content, and does not mean We have reviewed, endorsed, or verified it.

You warrant that you have the right to use any Content you upload, and that any contact data you upload or message using Our Sites (including leads and customer lists) was collected and is held by you lawfully and with any consent required by applicable law.

6. Email, WhatsApp and Other Messaging Features

Messaging Features let you send email, WhatsApp and other messages to your own contacts using your own connected sending identity (for example, your own Mandrill sending reputation or your own WhatsApp Business Account). You are the sender of any message you send using the Messaging Features, and you are solely responsible for complying with all applicable law governing electronic marketing and communications in respect of it, including the Privacy and Electronic Communications Regulations 2003, the UK GDPR, and equivalent laws (such as CAN-SPAM) in any jurisdiction your recipients are located in, including obtaining any consent required, honouring unsubscribe and opt-out requests promptly, and identifying yourself accurately as sender.

You must not use the unsubscribe and suppression tooling We provide in a way designed to defeat its purpose, and must not attempt to message a contact who has opted out through it.

We may suspend, throttle, or restrict your use of the Messaging Features, without liability to you, where We reasonably consider it necessary to protect Our sending infrastructure and reputation for the benefit of all members of Our platform, including in response to high complaint or bounce rates, suspected abuse, or a breach of a third-party provider's own policies.

Where you connect a third-party messaging account (for example, your own WhatsApp Business Account via Meta), your use of it is also subject to that third party's own terms, and We are not responsible for that third party's decisions, including template approval, account suspension, or policy changes.

We are not liable for the non-delivery, delay, filtering to a spam or junk folder, or any other delivery outcome of a message sent using the Messaging Features.

7. AI Features

AI Features are powered by third-party artificial intelligence providers (currently including Anthropic, OpenAI, Groq, and Cloudflare Workers AI). We may change which provider powers a given AI Feature at any time without notice to you.

AI Features are provided as a drafting aid only. Output from AI Features may be inaccurate, incomplete, or occasionally resemble material created by a third party; We give no warranty as to its accuracy, originality, or fitness for any particular purpose.

You must review and take responsibility for any AI-generated content before you publish it, send it, or otherwise rely on it. You must not use AI Features to generate content that would breach Clause 4 (Acceptable Use).

8. Availability and Support

We use reasonable efforts to keep Our Sites available but do not guarantee any particular level of uptime or give any service level commitment, unless We have separately agreed one with you in writing.

We may carry out planned maintenance and will give notice of this where reasonably practicable. We are not liable for downtime or degraded performance caused by third-party infrastructure or service providers (including hosting, DNS, content-delivery, payment, or communications providers) outside Our reasonable control.

9. Third-Party Services and Integrations

Our Sites integrate with a number of third-party services, including (among others) Stripe for payments, Mandrill for email delivery, Meta for WhatsApp messaging, Zoom and Calendly for scheduling, Cloudflare Stream for video, Anthropic, OpenAI, Groq and Cloudflare Workers AI for AI Features, and Pexels for stock photography made available through Our curated image library. Your use of functionality built on a third-party service is also governed by that provider's own terms.

We are not responsible for the acts, omissions, downtime, security, or policy or pricing changes of any third-party service provider.

Images made available to you through Our curated image library are licensed from third-party stock photo providers, not owned by Us or by you. Your use of any such image is subject to that provider's own licence terms, and We do not guarantee that a specific image will remain available or licensable indefinitely.

10. Intellectual Property in Our Sites

Our Sites, including their software, design, and branding, are Our intellectual property or that of Our licensors. We grant you a limited, non-exclusive, non-transferable licence to use Our Sites in accordance with these Terms and the Subscription Terms and Conditions, for the duration of your Subscription.

11. Suspension and Termination

We may suspend or terminate your, or any User's, access to Our Sites immediately, without liability to you, where We reasonably believe there has been a breach of Clause 4 (Acceptable Use), unlawful conduct, non-payment, or a risk to the security, integrity, or availability of Our Sites for other members.

Where content involving the exploitation of a minor is identified, We will terminate access immediately and may report the matter to the National Crime Agency, the Internet Watch Foundation, or another relevant authority, as required or reasonably appropriate.

12. Reporting a Concern and Content Removal

If you become aware of Content or conduct on Our Sites, including Content published publicly by another User (for example on a funnel page), that may breach these Terms or applicable law, please report it to [email protected] or through the Support Centre, with enough detail for Us to locate and assess it.

On receiving actual knowledge of Content that is unlawful or breaches Clause 4 (Acceptable Use), We will act expeditiously to remove it or disable access to it. We are not obliged to actively monitor Content published using Our Sites, and reviewing a report or removing Content does not make Us the publisher of that Content or otherwise responsible for it.

We reserve the right, but assume no obligation, to use automated tools or other means (for example, hash-matching against known child sexual abuse material or other illegal-content databases) to detect prohibited Content on Our Sites, whether before or after it is published, and to act on the results. Using such a tool, not using one, and the outcome of any such tool, does not create any duty on Our part beyond what this Clause already states, and We are not liable for Content that such a tool fails to detect.

13. Changes to These Terms

We may update these Terms from time to time, including to reflect new features, changed law, or operational needs. The current version will always be available on Our website, and We will notify active Users of material changes.

14. Liability

Nothing in these Terms excludes or limits Our liability for death or personal injury caused by Our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, and save as otherwise stated in these Terms, Our liability in connection with your use of Our Sites is governed by, and subject to the same limits as, Clause 20 (Liability) of the Subscription Terms and Conditions, so that the two documents do not impose two different caps on the same underlying relationship.

15. Indemnity

You agree to indemnify Us against any claims, losses, liabilities, damages and reasonable costs (including legal costs) We incur as a result of: (a) any Content you, or a User in your Organisation, uploads to, or publishes using, Our Sites, including any claim that it infringes the intellectual property, privacy, or other rights of a third party, or is defamatory, unlawful, or otherwise actionable; (b) your, or a User's, breach of these Terms, including Clause 4 (Acceptable Use); or (c) your, or a User's, unlawful conduct in connection with your use of Our Sites.

This Clause applies in particular, but not only, to Content you choose to make publicly available using Our Sites (for example, a video or image published on a funnel page), where We are hosting and serving that Content to the public on Our infrastructure at your direction.

16. Data Protection

Personal data is processed in accordance with Our Privacy Policy.

17. Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
