E: [email protected] W: https://socialselling.co.uk

Effective from: 15 October 2026. For existing members, these terms apply from the date you accept them.

These Terms of Sale set out the terms under which Paid Content, accessed via Subscriptions, is sold by Us to business customers through the websites socialselling.co.uk, silla.co and their subdomains (“Our Sites”).

Please read these Terms of Sale carefully before purchasing a Subscription. By ordering a Subscription you agree to be bound by these Terms.

If you do not agree with these Terms you must not purchase a Subscription.

These Terms of Sale, and any Contract formed under them, are in the English language.

1. Definitions and Interpretation

“Add-on” – an additional product or service purchased alongside your Subscription, shown as a separate item in the Billing section of your Silla account. An Add-on may be rolling, subject to a Minimum Term, or a Fixed Term, independently of your Subscription and of any other Add-on. See Clause 17.

“Contract” - the contract for the purchase of a Subscription, and any Add-on, to access Paid Content.

“Credit Terms” - the Platform Credit Terms published on Our Sites.

“Data Protection Legislation” – the Data Protection Act 2018, UK GDPR and any successor legislation.

“Fixed Term” - in relation to your Subscription or an Add-on, that it is sold on a committed basis with no right for you to cancel it before the end of the stated term, as indicated in your Subscription Confirmation. See Clause 17.

“Minimum Term” - in relation to your Subscription or an Add-on, an initial committed period longer than a single billing period, before which you cannot cancel it, as stated in your Subscription Confirmation (for example, an initial 6-month or 12-month period). It becomes ordinary rolling, monthly-cancellable once the Minimum Term ends. See Clause 17.

“Paid Content” - digital materials, sessions, community access, software tools, resources and services made available through Our Sites.

“Platform Terms of Use” – the separate Platform Terms of Use governing acceptable use of Our Sites and the Silla platform, including Our AI Features and messaging tools, referred to in Clause 3.

“Subscription” - an ongoing membership providing access to Paid Content for a recurring fee.

“Subscription Confirmation” - Our acceptance and confirmation of your purchase.

“Support Centre” - Our online help and communication system used for requests, complaints and support. Cancellation is not handled through the Support Centre; see Clause 17.

“We / Us / Our” - The Social Selling Company Limited, registered in England under company number 11674627.

2. Information About Us

The Social Selling Company Limited, 71-75 Shelton Street
London
WC2H 9JQ
United Kingdom. VAT: GB 381 9929 45.

3. Access to and Use of Our Site

Access to Our Site is free of charge.

We may alter, suspend, or discontinue the Site or any part of it at any time.

Use of Our Site is also subject to Our Platform Terms of Use, which apply in addition to these Terms. The Platform Terms of Use prohibit, among other things, illegal activity, content that sexualises or exploits a minor, pornographic or sexually explicit material, hate speech or discrimination, and any other abusive or inappropriate use of Our Sites, and set out Our right to suspend or terminate access for a breach; see Clause 4 of the Platform Terms of Use for the full list.

4. Business Customers and Consumers

These Terms apply to business customers only.

For the avoidance of doubt, sole traders are treated as business customers, not consumers.

5. Subscriptions, Content and Pricing

Prices may change from time to time. Changes will not affect active Subscriptions but may apply to renewals.

We will provide at least 30 days notice of price changes.

Your Subscription, and any Add-on, renews automatically unless cancelled in accordance with Clause 17, except one that is a Fixed Term, which ends when its stated term is up and does not renew unless you place a new order.

Platform Credits and Webinar Attendees included in, or bought with, your Subscription are governed by the Credit Terms. If there is a conflict about them, the Credit Terms prevail. Purchased Credits and Additional Attendees do not renew automatically.

6. Orders and Contract Formation

A Contract is formed when We send a Subscription Confirmation email. Adding an Add-on to an existing Subscription is formed the same way, on Our sending confirmation of that purchase, and becomes part of the same Contract. Confirmation of an Add-on may be sent by email or made available as a receipt in the Billing section of your Silla account.

If We cannot fulfil your order We will inform you and issue a refund.

7. Payment

Payments must be made in advance.

Your payment method will be charged on the order date and each renewal date.

If payment fails We may suspend access until payment is received.

Where payment disputes or chargebacks are initiated without first contacting the Support Centre to attempt resolution, We reserve the right to suspend access to the platform while the dispute is investigated.

If a Subscription payment remains unpaid and recovery action becomes necessary, you agree that reasonable recovery, legal and administrative costs may be added to the outstanding balance.

You agree that this Contract constitutes a commercial agreement between businesses and may be relied upon as evidence of debt in any recovery or legal proceedings.

8. Provision of Paid Content and Services

Subscriptions provide access to training materials, software tools, community access, live sessions, reviews, advisory calls and events where applicable.

Services may be delivered digitally, online or in person.

Payments are for access to the membership ecosystem during the active subscription period and are not dependent on attendance or usage of specific services.

Failure to attend sessions, calls or events does not entitle you to a refund.

Except where required by law or where We are in material breach, payments are non-refundable.

We maintain system records including login activity, platform access, session attendance, booking records, credit grants, redemptions and expiries, and communication logs.

These records may be used as evidence that Paid Content and services were made available to your account.

In the event of a billing dispute or chargeback these records constitute prima facie evidence that the service was delivered.

9. AI-Generated Content

Some Paid Content includes features that use artificial intelligence to generate or suggest content, including written copy, images, and recommendations (“AI Features”), powered by third-party AI providers (currently including Anthropic, OpenAI, Groq, and Cloudflare Workers AI). We may change which provider powers a given AI Feature at any time without notice to you.

AI Features are provided as a drafting aid only. We do not warrant that AI-generated output is accurate, complete, original, or fit for any particular purpose, and it may occasionally be incorrect or resemble third-party material.

You are responsible for reviewing, editing and approving any AI-generated content before you rely on it, publish it, or send it to any third party, including your own customers or contacts. You must not use AI Features to create content that would breach the Platform Terms of Use.

10. Email, WhatsApp and Messaging Features

Some Paid Content includes tools that let you send email, WhatsApp or other messages to your own contacts (“Messaging Features”).

When you use Messaging Features, you are the sender for legal purposes. You are solely responsible for complying with all applicable law governing electronic marketing and communications, including the Privacy and Electronic Communications Regulations 2003, the UK GDPR, and equivalent laws in any jurisdiction your recipients are located in, including obtaining any consent required, honouring unsubscribe and opt-out requests, and identifying yourself accurately as sender.

We provide unsubscribe and suppression tooling as part of the Messaging Features; you must not attempt to circumvent it.

We may suspend or throttle your use of Messaging Features, without liability to you, where We reasonably consider this necessary to protect Our email and messaging infrastructure for all members, including in response to high complaint or bounce rates, abuse, or a breach of a third-party provider's policies (for example Meta's WhatsApp Business policies).

We are not liable for the non-delivery, delay, or spam-folder placement of any message sent using the Messaging Features, or for any act, omission, or policy decision of a third-party messaging provider.

11. Service Availability

We use reasonable efforts to keep Our Sites and Paid Content available, but We do not guarantee any particular level of uptime or availability, and We give no service level commitment, unless We have separately agreed one with you in writing.

We may carry out planned maintenance from time to time and will give notice of this where reasonably practicable. We are not liable for unavailability caused by the acts, omissions or outages of third-party infrastructure or service providers outside Our reasonable control (see Clause 12 and Clause 20).

12. Third-Party Services

Paid Content relies on and integrates with third-party services, including payment processing, email delivery, messaging, video hosting and scheduling providers, the AI providers referred to in Clause 9, and the stock photo providers referred to below. Your use of any functionality built on a third-party service is also subject to that provider's own terms.

We are not responsible for the acts, omissions, downtime, or policy or pricing changes of any third-party service provider, even where this affects your ability to use Paid Content.

Images made available to you through Our curated image library are licensed from third-party stock photo providers, not owned by Us or by you. Your use of any such image is subject to that provider's own licence terms, and We do not guarantee that a specific image will remain available or licensable indefinitely.

13. Licence and Intellectual Property

Paid Content is licensed to you for your own business use.

You must not copy, distribute, publish, resell or share Paid Content without written permission.

Sharing login credentials is prohibited.

14. Member Conduct

We reserve the right to suspend or terminate access where a user:

  • breaches these Terms or the Platform Terms of Use;
  • disrupts other members;
  • abuses staff;
  • redistributes Paid Content;
  • engages in unlawful or unethical behaviour.

Termination for breach does not remove the obligation to pay outstanding fees.

15. Calls, Reviews and Advisory Sessions

Some Subscriptions include coaching calls, reviews or advisory sessions. Unless otherwise stated:

  • sessions require at least 24 hours notice to reschedule;
  • missed sessions are treated as used;
  • sessions may not be transferred or resold;
  • unused monthly sessions do not roll over and have no cash value.
Calls redeemed using Platform Credits are sessions for the purposes of this clause. Our Consulting Terms of Sale do not apply to them. The rule that unused monthly sessions do not roll over does not apply to Purchased Credits, which are carried over as set out in the Credit Terms.

16. Events and Masterminds

Some memberships include access to events or masterminds. Attendance remains subject to the Event Ticket Terms of Sale. Failure to attend an included event does not entitle you to a refund or credit.

17. Ending Your Subscription

Your Subscription may be purchased together with one or more Add-ons. Each is billed and administered together with your Subscription, but can be cancelled separately, except as set out below.

You may cancel your Subscription, or any Add-on, at any time through the Billing section of your Silla account. Cancellation is effective on submission and stops whatever you cancel from renewing.

Cancelling your Subscription ends every Add-on purchased alongside it, from the same effective date. Cancelling an Add-on ends only that Add-on; your Subscription, and any other Add-on, continues unaffected.

Your Subscription, and each Add-on, is separately either: rolling with no Minimum Term; rolling subject to a Minimum Term; or a Fixed Term. Each of the following three paragraphs applies separately to your Subscription and to each Add-on, according to which of these it is.

Purchased Credits and Additional Attendees are an exception to the three paragraphs below. They are one-off Add-ons. They do not renew, and they are not rolling, Minimum Term or Fixed Term Add-ons. They expire when your membership ends, as set out in the Credit Terms.

Where it has no Minimum Term and is not a Fixed Term, access to it continues until the end of the billing period current when you cancel it, and no further payment will be taken for it.

Where it is subject to a Minimum Term, you cannot cancel it before the Minimum Term ends. Once the Minimum Term ends, it continues on a rolling, monthly-cancellable basis and the paragraph above applies.

Where it is a Fixed Term, you cannot cancel it before the Fixed Term ends, and it does not renew after the Fixed Term ends unless you place a new order. This does not affect Our right to end the Contract under Clause 18.

Cancellation does not entitle you to a refund of fees already paid for Paid Content already made available to you (see Clause 8).

18. Ending the Contract: Our Actions

We may end the Contract for a Subscription at any time by writing to you if: you do not make a payment when due and remain in default for 14 days after We remind you it is due; you breach these Terms or the Platform Terms of Use in a way that is not remedied within a reasonable time of Us asking you to; or We reasonably believe you are engaging in unlawful conduct in connection with your Subscription.

If We end the Contract in the situations set out above, We will refund any money you have paid in advance for Paid Content We have not provided, but We may deduct or offset reasonable compensation for the net costs We incur as a result of your breach.

If We stop providing a Subscription's Paid Content altogether for reasons unrelated to your breach (for example, discontinuing a service), We will tell you as soon as reasonably possible and refund any sums you have paid in advance for Paid Content not provided.

Refunds of unused Purchased Credits and Additional Attendees are governed by clause 9 of the Credit Terms and not by this clause.

19. Changes to These Terms

We may update these Terms from time to time, including to reflect changes to Our services, Paid Content, or applicable law.

Where a change is not material (a clarification, correction, or a change required by law), the updated Terms apply from the date We publish them, and your continued use of Paid Content after that date is treated as acceptance.

Where a change is material (one that reduces your rights, increases your obligations, or otherwise changes the substance of what your Subscription provides), We will give you reasonable advance notice by email or through your account, and ask you to actively accept the updated Terms before you can continue using Paid Content.

If you do not accept a material change, We may suspend your access to Paid Content until you do. Your Subscription fees continue to be payable in accordance with Clause 7 while your Subscription remains active; if you do not wish to accept the updated Terms, your option is to cancel your Subscription under Clause 17, not to continue using Paid Content on the old Terms. We will not use a change to these Terms to remove a right you already have in respect of Paid Content already provided to you, and We will not treat your initial non-acceptance, on its own, as a breach entitling Us to end the Contract under Clause 18.

Where your Subscription, or any Add-on within it, is subject to a Minimum Term or is a Fixed Term, and You are suspended under this Clause for not accepting a material change, you may cancel the affected Subscription or Add-on with immediate effect notwithstanding Clause 17, and We will refund any sums paid in advance for the period after your access was suspended.

20. Liability

Nothing in these Terms excludes or limits Our liability for death or personal injury caused by Our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under applicable law.

Subject to the paragraph above, We are not liable for indirect or consequential losses.

Subject to the paragraph above, Our total liability is limited to the greater of £500 or 50% of fees paid.

21. Events Outside Our Control

We are not liable for delays caused by events outside Our reasonable control.

22. Communication

All contractual communication must be submitted through the Support Centre, except cancellation under Clause 17, which is submitted through the Billing section of your Silla account.

23. Data Protection

Personal data is processed in accordance with Our Privacy Policy.

24. Law and Jurisdiction

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.

25. Electronic Acceptance

By ticking a box, clicking “I Agree”, or completing a purchase you enter into a legally binding contract with The Social Selling Company Limited.
